Terms and Conditions for Veterinary Practices

1. INTRODUCTION AND ACCEPTANCE OF TERMS

1.1 These Terms and Conditions ("Terms") govern the use of the Ronda Vet Locums Ltd platform ("Platform") by veterinary Practices ("Practices") seeking to hire veterinary professionals, hereafter referred to as "Locums," for short-term engagements.

1.2 By accessing or using the Platform, you confirm that you have the authority to enter into this agreement on behalf of the Practice you represent ("you" or "Practice"). The Practice agrees that by accessing or using the Platform, you and your Practice are entering into a legally binding agreement with Ronda Vet Locums Ltd, a company registered in England and Wales ("Company", "we", "us", or "our").

1.3 If the Practice does not agree with these Terms, the Practice must not access or use the Platform.

2. DEFINITIONS AND INTERPRETATION

2.1 "Content" means text, graphics, images, music, software, audio, video, information or other materials.

2.2 "Engagement" refers to any short-term work arrangement facilitated through the Platform.

2.3 "User" means any Practice, locum, or other person who uses the Platform.

2.4 "Confidential Information" means all information related to Ronda Vet Locums Ltd, the Platform, or other Users which is designated as confidential or which should reasonably be understood to be confidential.

2.5 "Placement" means one or more shifts confirmed between a Practice and a Locum following a match on the Platform.

2.6 "Placement Fee" means the fee charged by Ronda Vet Locums to the Practice for each shift booked through the Platform. This fee is separate from, and in addition to, any payments made by the Practice directly to the Locum for their services.

2.7 Interpretation: Any reference to a statute or statutory provision includes a reference to that statute or statutory provision as amended, extended, or re-enacted from time to time.

3. REGISTRATION AND ACCOUNT SECURITY

3.1 To access the Platform, the Practice must create an account. The Practice agrees to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 The Practice is responsible for safeguarding the password used to access the Platform and for any activities or actions under their password. The Practice agrees not to disclose their password to any third party and to immediately notify Ronda Vet Locums Ltd of any unauthorised use of their password or any other breach of security.

3.3 Ronda Vet Locums Ltd reserves the right to refuse registration of, or cancel, accounts it deems inappropriate.

3.4 Recruiters or recruitment agencies are strictly prohibited from using the Platform.

4. PRACTICE OBLIGATIONS AND CONDUCT

4.1 The Practice agrees to use the Platform in compliance with all applicable laws, regulations, and these Terms.

4.2 The Practice shall:

a) Maintain all necessary licenses, certifications, and insurances required to operate a veterinary Practice in the UK.

b) Ensure that all information provided to the Platform is accurate, complete, and up-to-date.

c) Treat all Locums with respect and professionalism.

d) Provide a safe and compliant working environment for all Locums engaged through the Platform.

e) Comply with all applicable employment laws and regulations, including but not limited to those relating to working hours, health and safety, and non-discrimination.

f) Pay all fees due to Ronda Vet Locums Ltd in a timely manner.

g) Practices shall be responsible for ensuring timely payment to Locums. In cases of non-payment, Ronda Vet Locums Ltd reserves the right to block Practice accounts.

h) Not circumvent the Platform by engaging Locums directly following a successful match made through the Platform, for a period of 12 months after the start date of the first shift worked by that Locum for the Practice.

4.3 The Practice shall not:

a) Use the Platform for any unlawful purpose or in violation of these Terms.

b) Post false, inaccurate, misleading, defamatory, or libellous content.

c) Harass, abuse, or harm another person or entity.

d) Interfere with or disrupt the Platform or servers or networks connected to the Platform.

e) Attempt to gain unauthorised access to the Platform, other users’ accounts, or computer systems or networks connected to the Platform.

5. POSTING ENGAGEMENTS AND HIRING PROCESS

5.1 The Practice is responsible for posting engagements on the Platform, specifying the required qualifications, duration, location, and other relevant details.

5.2 The Practice must ensure that all posted engagements comply with UK employment laws and regulations and are solely responsible for the content of such postings.

5.3 Upon receiving applications from Locums, the Practice is responsible for reviewing each Locum's skills, qualifications, and reviews, though names and personal details shall remain confidential until a match is confirmed.

5.4 It is the Practice's responsibility to evaluate candidates, and make all final hiring decisions based on their assessment criteria.

5.5 Upon confirmation of a match, the Practice will have access to the Locum’s name and contact details no earlier than seven (7) days prior to the scheduled start date of the placement, to facilitate the engagement. For placements confirmed less than seven (7) days in advance, the Practice will receive access to the Locum’s details immediately upon confirmation.

5.6 The Practice agrees to respond to applications and inquiries from Locums promptly and professionally to ensure efficient communication.

5.7 All communications and negotiations regarding the terms of the placement, including rates, schedules, and other relevant details, shall be conducted directly between the Practice and the Locum through the Platform. The Platform facilitates this interaction but does not participate in or guarantee the outcome of such negotiations.

5.8 Ronda Vet Locums Ltd will conduct identity verification, right to work checks, and confirm that each Locum is registered with the Royal College of Veterinary Surgeons (RCVS) prior to being available for placements through the Platform.

6. FEES AND PAYMENT

6.1 The Practice agrees to pay a fixed fee for each Locum booked for a shift, as specified on the Ronda Vet Locums Ltd website (www.ronda.vet). This placement fee is charged per shift and is not subject to change unless otherwise communicated by Ronda Vet Locums Ltd. An invoice will be issued on the first (1st) day of each calendar month, covering all shifts booked and confirmed in the previous month.

6.2 Payment is due within fourteen (14) days from the invoice date. The Practice must ensure that payments are made on time to maintain access to the Platform and avoid any potential account restrictions or service interruptions. The Practice agrees to adhere to the Payment Policy and Account Restrictions terms available at [Ronda Vet Locums Ltd Payment Policy URL].

6.3 Fees may include, but are not limited to, registration fees, subscription fees, transaction fees, and cancellation fees.

6.4 The Practice acknowledges that all fees are non-refundable if the Locum has completed the shift or shifts, even if the Practice deems their performance unsatisfactory.

6.5 The Practice is responsible for paying Locums directly for their services, unless otherwise explicitly agreed in writing with Ronda Vet Locums Ltd.

6.6 Ronda Vet Locums Ltd reserves the right to change its fee structure at any time, and any changes will be communicated to Practices with reasonable notice.

6.7 If a Locum introduced through the Platform is subsequently offered and accepts a permanent or fixed-term employment contract with the Practice, the Practice agrees to pay a one-time conversion fee equivalent to 12.5% of the Locum’s gross annual salary. The Practice is responsible for notifying Ronda Vet Locums Ltd of any such conversion within 7 days of the offer being accepted. Failure to report this may result in retrospective invoicing and suspension of access to the Platform. Ronda Vet Locums Ltd reserves the right to take legal action to recover the applicable fee.

6.8 The Platform Provider has the right to charge the Practice interest on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

7. CANCELLATIONS AND DISPUTES

7.1 The Practice must provide reasonable notice for the cancellation of engagements.

7.2 If the Practice cancels all shifts in a placement more than 48 hours before the first shift is due to commence, no placement fee will be charged.

7.3 If the Practice cancels a placement within 48 hours of the scheduled start time, or after the Locum has arrived, the Practice will be charged the full placement fee per shift for up to a maximum of 14 days. This charge will not apply if the cancellation is due to a documented emergency, such as:

7.4 Once the placement has commenced, the total placement fee for all confirmed shifts will become chargeable in full, regardless of whether the Practice subsequently cancels or terminates part of the placement with the Locum.

7.5 In the event of a dispute between a Practice and a Locum, the Practice agrees to first attempt to resolve the issue directly with the Locum.

7.6 If the dispute cannot be resolved directly, the Practice may request mediation through Ronda Vet Locums Ltd; however, Ronda Vet Locums Ltd is not obligated to mediate or resolve any disputes.

8. REVIEWS AND FEEDBACK

8.1 The Practice has 14 days period following the completion of an engagement to write a review about the Locum.

8.2 Reviews will become visible at the earlier of: (a) when both the Practice and Locum have submitted their reviews, or (b) after 14 days have passed since the engagement's completion.

8.3 The Practice agrees to provide honest, fair, and constructive feedback. Defamatory, abusive, or otherwise inappropriate reviews may be removed by Ronda Vet Locums Ltd at its sole discretion.

8.4 The Practice grants Ronda Vet Locums Ltd a perpetual, non-exclusive, royalty-free license to use, reproduce, and display reviews written by the Practice on the Platform for any business purpose.

8.5 The purpose of this two-way review system is to promote transparency, enhance service quality, and facilitate fairer negotiations between Locums and Practices.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Ronda Vet Locums Ltd, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9.2 Practices are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purpose of finding and engaging Locums.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

10.1 The Platform Provider acknowledges that whilst every effort is made to vet Locums, the Practice must carry out its own independent checks and due diligence on the Locums.

10.2 The Practice agrees to hold harmless and shall have no right of action against the Platform Provider for any acts or omissions of the Locums.

10.3 The Platform is provided on an “as is” and “as available” basis. Ronda Vet Locums Ltd makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform.

10.4 Ronda Vet Locums Ltd does not warrant that the Platform will be uninterrupted or error-free, and Ronda Vet Locums Ltd will not be liable for any interruptions or errors.

10.5 Ronda Vet Locums Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

10.6 Nothing in these Terms limits or excludes Ronda Vet Locums Ltd's liability for death or personal injury resulting from its negligence, or for any liability that cannot be excluded or limited by law.

11. INDEMNIFICATION

11.1 Practices agree to indemnify, defend, and hold harmless Ronda Vet Locums Ltd, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from:

12. MODIFICATIONS TO THE PLATFORM AND TERMS

12.1 Ronda Vet Locums Ltd reserves the right to modify or discontinue, temporarily or permanently, the Platform (or any part thereof) with or without notice.

12.2 Ronda Vet Locums Ltd reserves the right to modify these Terms at any time. We will notify Practices of any material changes by posting the new Terms on the Platform or by sending you an email.

12.3 Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

13. TERMINATION

13.1 Ronda Vet Locums Ltd reserves the right to terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

13.2 Upon termination, your right to use the Platform will immediately cease.

13.3 All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. CONFIDENTIAL INFORMATION

14.1 Practices acknowledge that during the course of using the Platform, they may have access to Confidential Information.

14.2 The Practice agrees to keep all Confidential Information confidential and not disclose it to any third party without the prior written consent of Ronda Vet Locums Ltd, except as required by law.

14.3 The obligations of confidentiality shall survive the termination of these Terms and the use of the Platform.

16. ACKNOWLEDGEMENT

16.1 BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.

17. DATA PROTECTION AND PRIVACY

17.1 Ronda Vet Locums Ltd will collect and process personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference.

17.2 Practices agree to comply with all applicable data protection laws and regulations, including the UK Data Protection Act 2018 and General Data Protection Regulation (GDPR), in relation to any personal data they receive or process in connection with their use of the Platform. This includes implementing appropriate technical and organisational measures to protect personal data, ensuring data accuracy and integrity, and respecting individuals’ rights concerning their data.

18. FORCE MAJEURE

18.1 Ronda Vet Locums Ltd shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss, or malfunctions of utilities, communications or computer (software and hardware) services.

19. GOVERNING LAW AND JURISDICTION

19.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

19.2 Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be London, England. The language of the arbitration shall be English.
